Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Formulate.li website, application, and related services (the "Service"), operated by Prisma Sync LLC, a Delaware limited liability company ("Prisma Sync", "we", "us"). By creating an account or using the Service you agree to these Terms.

1. The Service

Formulate lets you (a) create digital forms, either by hand or by importing a PDF that our AI extractor turns into a form, (b) share those forms via public or per-recipient invite links, and (c) receive submissions rendered as branded PDF documents.

2. Your account

You must be at least 18 years old and provide accurate information. You are responsible for all activity under your account and for keeping your credentials secure. You must notify us at support@formulate.li of any suspected unauthorized use.

3. Acceptable use

You agree not to (a) use the Service to collect information in violation of applicable law, including data-protection, consumer-protection, or anti-spam law; (b) upload malicious content, attempt to interfere with the Service, or probe its security; (c) resell the Service without written permission; (d) use the Service for phishing, impersonation, or misleading data collection; (e) upload content that infringes third-party rights.

4. Your content

You retain all rights to forms you create, brand assets you upload, and submissions you receive ("Your Content"). You grant Prisma Sync a limited license to host, store, transmit, display, and process Your Content solely to operate the Service on your behalf, including generating PDFs and running our AI extractor.

5. Respondent data (you are the controller)

When people submit responses to your forms, you are the "data controller" for that information under applicable law and Prisma Sync acts as your "data processor". You are responsible for your own privacy notices to respondents, for having a lawful basis to collect the data, and for responding to respondent requests. See our Privacy Policy.

5a. Retention of submissions

Each form has a retention window you set before publishing: 30, 60 or 90 days. Once the form is published the window is locked — it cannot be changed for that form, because respondents are shown the window before signing. When the window ends, the encrypted PDF, the submitted field data and the signature are permanently deleted. You can also delete individual submissions early from the dashboard.

5b. Security features

Generated PDFs are encrypted at rest with AES-256-GCM envelope encryption, HMAC-signed and content-hashed for tamper-evidence, and served only through signed, time-limited URLs. Respondent IP addresses are stored as a salted hash — never in plain text. Email-code MFA is available on your account.

6. Plans, billing and refunds

The Service is offered on Free, Starter and Business plans described on our pricing page. Paid plans are billed monthly or annually in advance via our payments processor (Stripe). Fees are non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period, and any remaining paid time remains usable.

7. Quotas and fair use

Each plan has published limits on active forms, submissions per month, AI PDF import page count, and AI import frequency. If you exceed a quota we may pause new submissions or AI imports for that period. Business's 10,000 submissions/month and 200 AI imports/month are a fair-use cap; sustained abuse or automated stress-testing may lead to suspension.

8. AI features

Our AI PDF extractor is a helper — it does its best to detect fields, labels, and layout, but you must review the generated form before using it. We do not guarantee extraction accuracy.

9. Suspension and termination

We may suspend or terminate accounts that violate these Terms, that are used unlawfully, that create risk for other users, or that have unpaid invoices past due. On termination we will delete your account data within a reasonable period, subject to legal retention obligations.

10. Warranty disclaimer

The Service is provided "AS IS" and "AS AVAILABLE". Prisma Sync disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, Prisma Sync's aggregate liability for any claim arising out of the Service is limited to the greater of (a) the fees you paid us in the twelve (12) months preceding the claim, or (b) US$100. We are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, or goodwill.

12. Indemnity

You agree to indemnify and hold harmless Prisma Sync and its officers, employees and contractors from claims arising out of Your Content, your use of the Service, or your breach of these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. Nothing in these Terms limits any consumer rights you have under the law of your country of residence that cannot be waived by contract.

14. Changes

We may update these Terms from time to time. Material changes will be announced by email or in-app notice at least 14 days before taking effect. Continued use after changes take effect constitutes acceptance.
